Beyond Bitcoin, LLC plans on developing separately managed accounts (SMAs) and private placement trusts based on several of their proprietary indices that would potentially offer accredited U.S. investors a simple way to gain diversified exposure to the broad cryptocurrency market and specific themes within the asset class. Such trusts, if offered, would be issued pursuant to exemption from registration provided by Rule 506(c) under Regulation D of the Securities Act and would be available to accredited U.S. investors only, (SEC definition of accredited Investor). You are accredited as an individual if you made over $200,000 in the last two calendar years (or $300,000 with your spouse), or if you have greater than $1,000,000 in liquid net worth, excluding your primary residence. Entities must have total assets in excess of $5 million or all of the equity owners have to be accredited investors. There is no guarantee such trusts will be offered.
